Music License Agreement (Non-Exclusive, Limited Use) Agreement Date: 1st November 2025
This Music License Agreement (the “Agreement”) is made and entered into between:

1. Definitions
“Musical Work”: The musical composition written by the Licensor, the “Song”.
“Master Recording”: The Final Audio Recording of the Musical Work created by the Licensor.
“Licensed Use”: The specific, limited use of the Musical Work and Master Recording as described in Section 2.
“Licensing Fee”: The payment made by the Licensee to the Licensor for the Licensed Use, as outlined in Section 3.
2. Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Musical Work and Master Recording solely for the following purpose:
Type of Project: Use in Videos, Radio Edits or Dance Tracks
Title of Project: Feracchi Music
Duration of Use: The Master Recording may be used for a Maximum of 30 Seconds in the Licensed Use.
Territory: Worldwide.
Permitted Alterations: Can be altered, edited, or adapted. However, my sexuality must be adhered to.
Permitted Licensee: No males are permitted to have my voice on their assets or properties.
3. Financial Terms
In consideration for the Licensed Use, the Licensee agrees to pay the Licensor a one-time, upfront Licensing Fee of $1,000 NZD. This fee is non-refundable.
4. Rights and Ownership
Ownership: The Licensor retains all copyrights and ownership rights to the Musical Work and Master Recording. This Agreement does not transfer ownership of the Intellectual Property from the Licensor to the Licensee.
The Licensor explicitly reserves “All Rights” and not specifically granted to the Licensee in this Agreement.
No Exclusive Rights: The Licensor may continue to license the Musical Work and Master Recording to other parties for any other purpose, including for similar uses. The Licensee has no right to prevent or restrict the Licensor from granting other licenses.
5. Credit and Attribution
The Licensee agrees to provide credit to the Licensor in the final project. The credit must appear in a format consistent with other similar credits and must include the following information:

Track Name: Title of the Song
Licensed with All Rights Reserved by the Artist.
6. Termination
This Agreement may be terminated by the Licensor in the event of any material breach by the Licensee, including failure to pay the Licensing Fee or use of the Musical Work outside the scope of the Licensed Use.
7. Warranties and Indemnification
Licensor’s Warranty: The Licensor warrants that they are the sole owner of the Musical Work and Master Recording and have the right to enter into this Agreement.
Indemnification: The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or expenses arising from the Licensee’s use of the Musical Work outside the terms of this Agreement.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the Laws of New Zealand.
9. Legal Authority to Witness
This Agreement shall be written in a contract for the Licensor and the Licensee to sign. The Agreement must be signed off by a Justice of the Peace or a legal representative that is legally entitled to oversee such contracts.
